# Terms of Service

> These terms govern your use of Proof of Human and the proofs it creates. They include important disclaimers about what a proof does — and does not — assert.

## Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Aura Music Technologies ("Aura," "we," "us," or "our") and govern your use of the Proof of Human website, app, and backend services (together, the "Services"). By downloading, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.

You must be at least 18 years old, or the age of majority where you live, to use the Services.

Where we provide an in-app or account acceptance step, you must affirmatively accept these Terms before using the Services, and we may record the version you accepted and the date you accepted it.

Proof of Human is in private beta. The Services are pre-release, provided on an "as is" and "as available" basis, may change or be discontinued at any time, and carry no service-level commitment.

## What Proof of Human is

Proof of Human records the human editing work behind a track in a supported DAW — currently Apple Logic Pro, Ableton Live, and FL Studio — and binds that record to a one-way fingerprint of the audio you export, producing a portable proof (a ".poh" credential). Our backend verifies the proof, computes a report-only humanness result, signs the credential, and registers it so it can be verified later.

## Your account

You are responsible for the information you provide and for activity under your account. Keep your credentials secure and tell us promptly of any unauthorized use. You agree to provide accurate information and to keep it current.

## License to use the app

Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to download and use the Proof of Human app on devices you own or control, solely to create and manage proofs of your own work. We reserve all rights not expressly granted.

### Restrictions

You will not, and will not help or permit others to:

- copy, modify, distribute, sell, rent, sublicense, or create derivative works of the Services;
- reverse engineer, decompile, or disassemble the app or attempt to derive its source code, except to the limited extent this restriction is prohibited by law;
- forge, fabricate, tamper with, or reuse a proof for audio it does not correspond to, or attempt to circumvent the binding between a proof and its audio;
- represent a proof as asserting more than it does (see "What a proof means");
- access the Services by automated means, or in a way that burdens or disrupts them, or circumvent security or rate limits; or
- use the Services to violate any law or any third party's rights, or to infringe copyright.

## Your content and data

You retain all rights in your music and creative content. We do not claim ownership of your work.

To provide the Services, you grant us a limited, worldwide, royalty-free license to host, process, and transmit what you submit — the exported audio file sealed by a proof, its display file name, your project or song display name, its content-free editing record, derived signals, the audio fingerprint, and proof data — solely to operate, secure, verify, and improve the Services, including improving the humanness model. When you delete a proof, this license ends for that proof's audio, editing record, display names, and registry data, except as needed to comply with law. Aura owns all de-identified, aggregated, statistical, diagnostic, and derived data, models, methods, improvements, and analytics created from operation of the Services, provided they do not identify you or your music. As described in our Privacy Policy, lyrics, notes, pitches, full file-system paths, and track, region, and clip names are not collected by the app.

You represent that you have all rights, permissions, and authority needed to use the Services with the work in question, to submit the related proof data, and to share any proof or verification link you choose to share.

## Our intellectual property

The Services — including the Proof of Human, Aura, and PoH names, logos, and trade dress; the software and user interface; the ".poh" proof and credential format; the humanness-grading methodology and rubric; and all schemas, protocols, APIs, verification services, registries, scoring models, algorithms, reports, credentials, documentation, trade secrets, know-how, and goodwill associated with them, together with all intellectual property and other rights in the foregoing — are owned by Aura or its licensors and are protected by law. **We reserve all rights in and to the Services.** Except for the limited license expressly granted to you in these Terms, nothing here grants you any right, title, or interest in the Services, our methods, or our marks. You may not use our names or logos without our prior written permission. We may seek injunctive relief for any actual or threatened infringement or misuse of our intellectual property.

## What a proof means — and what it does not

This section is important. **PoH attests the recorded editing process and the audio's integrity. It does not by itself certify the music is AI-free.** Specifically:

- A proof is evidence of recorded human editing labor and that a given audio file matches the recorded fingerprint. It is **not** a guarantee or certification that the work is original, that you own all rights in it, that it is free of AI involvement, or that it is "100% human."
- The humanness result (human / AI / unknown) is **report-only and informational**. It is not a determination, ruling, or verdict; it does not gate, block, or validate a proof; and absence of evidence is reported as "unknown," never as "AI."
- A proof reflects only the data captured and verified by the Services, and may be incomplete or inaccurate if the app, operating system, your DAW, your device, the export, or the submission is interrupted, misconfigured, manipulated, or unsupported.
- We do **not** guarantee that any platform, distributor, rights organization, or other party will accept, recognize, or act on a proof, and we are not responsible for any decision they make based on a proof or result.
- Proof of Human is **not** a detector of AI and renders no judgment that any work is or is not AI-generated.

You are responsible for how you describe and use your proofs, and you agree not to misrepresent what a proof asserts.

## Acceptable use

You agree to use the Services lawfully and only for proofs of your own work. You will not submit content or use the Services in any way that is fraudulent, infringing, deceptive, or harmful, or that misrepresents authorship.

## Feedback

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

## Third-party services

The Services work with third-party software and platforms (for example, Apple Logic Pro, Ableton Live, and macOS, and any platform you share a proof with). We are not responsible for third-party products, terms, or actions, and your use of them is governed by their own agreements.

## Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS AND WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the Services will be uninterrupted, secure, or error-free, that proofs or results will be accurate or accepted by any third party, or that defects will be corrected. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

## Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AURA AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR USD $100. Some jurisdictions — including, for certain consumers, in Canada and Quebec — do not allow some of these limits, so they may not fully apply to you. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including for gross negligence, willful misconduct, fraud, or non-waivable consumer rights.

## Indemnification

You agree to indemnify and hold harmless Aura from any claims, losses, and expenses (including reasonable legal fees) arising from your misuse of the Services, your content, your violation of these Terms, or your violation of any law or third-party right.

## Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms or to protect the Services or others. Given the beta status, we may also discontinue the Services, in whole or in part. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and indemnification — will survive.

## Copyright concerns

If you believe content associated with a proof that someone has shared infringes your copyright, contact us at frank@auramusictechnologies.io with the information required by applicable law, and we will respond appropriately.

## Governing law and disputes

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable there, without regard to conflict-of-laws rules, and the courts of British Columbia will have jurisdiction, except where applicable consumer-protection law gives you the right to bring claims in your home jurisdiction. Nothing in these Terms removes mandatory consumer rights you have under the law of your country, province, or state.

## Changes to these terms

We may update these Terms as the Services evolve. When changes are material, we will update the "Last updated" date and, where appropriate, provide additional notice. Your continued use of the Services after an update means you accept the revised Terms.

## General

These Terms, together with the Privacy Policy, are the entire agreement between you and Aura regarding the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. You agree to comply with applicable export-control and sanctions laws. We are not liable for delays or failures caused by events beyond our reasonable control.
